GoodTechMart.com Vendor Terms & Conditions

These Vendor Terms & Conditions ("Terms") govern your relationship with GoodTechMart.com ("GoodTechMart," "we," "us," or "our") as a vendor ("Vendor," "you," or "your") on our marketplace platform, powered by Dokan Pro. By registering as a Vendor and listing products on GoodTechMart.com, you agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines posted on our website.


1. About GoodTechMart.com

GoodTechMart.com is a curated online marketplace specializing in electronics, robotics, and technology that address global challenges and promote a sustainable future. Our mission is to connect conscious consumers with innovative products that make a positive impact. Our marketplace operates on the Dokan Pro multi-vendor platform for WordPress, providing you with a dedicated dashboard to manage your sales.


2. Vendor Eligibility and Registration

2.1. Eligibility: To become a Vendor, you must be a legitimate business entity capable of forming legally binding contracts. You must provide accurate, complete, and up-to-date information during the registration process via the Dokan vendor registration form. 2.2. Application Process: All potential Vendors must complete an application process. GoodTechMart reserves the right to approve or reject any Vendor application at its sole discretion, based on alignment with our curated marketplace vision and product criteria. 2.3. Vendor Dashboard Access: Upon approval, you will gain access to your individual Dokan Vendor Dashboard, where you can manage your store, products, orders, and withdraw earnings. 2.4. Account Security: You are responsible for maintaining the confidentiality of your Dokan Vendor Dashboard login credentials and for all activities that occur under your account. You must notify GoodTechMart immediately of any unauthorized use or security breach.


3. Product Listing and Content Guidelines

3.1. Product Relevance: All products listed must align with GoodTechMart's vision: electronics, robotics, and tech addressing global challenges and promoting a sustainable future. Products must be genuine, new (unless explicitly agreed otherwise), and meet high quality standards. 3.2. Product Management (Dokan Dashboard): You will use the Dokan Vendor Dashboard to create, edit, and manage your product listings. You are solely responsible for the accuracy, completeness, and legality of all product descriptions, images, specifications, pricing, inventory levels, and any other content related to your listings ("Product Content"). Product Content must not be misleading, fraudulent, or infringe upon any third-party rights. 3.3. Prohibited Products: You agree not to list or sell any products that are illegal, hazardous, violate any intellectual property rights, are explicitly prohibited by GoodTechMart, or do not align with our ethical and sustainable standards. GoodTechMart reserves the right to remove any listing that violates these Terms without prior notice. 3.4. Intellectual Property: You warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize GoodTechMart to use all intellectual property rights in your Product Content and products.


4. Orders, Sales, and Fulfillment

4.1. Order Acceptance and Management: When a customer places an order for your product(s) on GoodTechMart.com, it will appear in your Dokan Vendor Dashboard. You are obligated to fulfill all accepted orders. You must update order statuses (e.g., Processing, Completed, Shipped) accurately within the Dokan dashboard. 4.2. Pricing: You are solely responsible for setting the prices of your products, including any applicable taxes. 4.3. Shipping and Fulfillment: * You are responsible for packaging and shipping products directly to the customer in a timely and professional manner. You will manage shipping settings and options through your Dokan Vendor Dashboard. * You must adhere to the shipping methods, timelines, and tracking requirements specified by GoodTechMart or configured within your Dokan shipping settings. * You are responsible for any shipping costs unless explicitly stated otherwise to the customer. 4.4. Inventory Management: You are responsible for maintaining accurate and up-to-date inventory levels for your listed products via your Dokan Vendor Dashboard. GoodTechMart is not responsible for any issues arising from inaccurate inventory information. 4.5. Customer Service (Vendor Responsibility): You are primarily responsible for providing direct customer service related to your products, including inquiries about product features, technical support, and order status. You must respond to customer inquiries within 24 hours using the communication tools available via Dokan or direct contact as agreed.


5. Fees and Payments

5.1. Commission Rate: GoodTechMart charges tiered commission rates and a small admin fee (refer to table 5) on every successful sale of your products through our platform. This commission is calculated on the total product price (excluding shipping costs unless otherwise agreed). This commission is automatically calculated and deducted by Dokan Pro during transaction processing.

5.2. Payment Processing Fees: You acknowledge and agree that standard payment processing fees charged by third-party payment gateways (e.g., Stripe, PayPal) will be deducted from each transaction by the respective payment gateway. These fees are separate from GoodTechMart's commission and handled by the payment gateway directly. 5.3. Payment Schedule: Payments for your sales, less GoodTechMart's commission and any applicable deductions (e.g., refunds, chargebacks), will be processed and disbursed to your nominated bank account via the Dokan withdrawal system, subject to a minimum payout threshold of €50. You are responsible for configuring your payment withdrawal settings in your Dokan Vendor Dashboard. 5.4. Taxes: You are solely responsible for calculating, collecting, and remitting any and all applicable taxes (including VAT, sales tax, income tax, etc.) related to your sales through GoodTechMart.com. GoodTechMart and Dokan will provide transaction reports to assist you, but are not responsible for your tax obligations. 5.5. Refunds and Chargebacks: In the event of a customer refund or chargeback, the corresponding sale amount and commission will be reversed, and any already disbursed funds may be offset against future payouts via the Dokan system or require direct reimbursement from you.


6. Returns, Refunds, and Disputes

6.1. Return Policy: You must establish and adhere to a clear and compliant return and refund policy for your products, which must be visible to customers on your vendor store page. This policy must at minimum comply with all applicable consumer protection laws (e.g., EU distance selling regulations). 6.2. Processing Returns: You are responsible for processing product returns and issuing refunds or managing product exchanges according to your stated policy and applicable laws, utilizing the WooCommerce/Dokan refund system where applicable. 6.3. Dispute Resolution: GoodTechMart may, at its discretion, mediate disputes between Vendors and customers. However, the ultimate responsibility for resolving product-related disputes lies with the Vendor. You agree to cooperate fully with GoodTechMart in any dispute resolution process.


7. Vendor Performance and Compliance

7.1. Performance Standards: You agree to maintain high standards of customer service, product quality, and timely fulfillment. GoodTechMart may monitor Vendor performance based on metrics such as shipping times, customer satisfaction, defect rates, and compliance with our policies, using data available via the Dokan administration panel. 7.2. Compliance with Laws: You warrant that your products, business practices, and all activities on GoodTechMart.com comply with all applicable local, national, and international laws and regulations, including but not limited to consumer protection laws, product safety regulations, intellectual property laws, data privacy laws (like GDPR), and export/import regulations. 7.3. Reporting: GoodTechMart reserves the right to suspend or terminate your Vendor account if your performance falls below acceptable standards or if you violate these Terms or any applicable laws. Such actions may be initiated and managed via the Dokan admin features.


8. Intellectual Property (GoodTechMart's)

8.1. All content, trademarks, logos, and intellectual property on GoodTechMart.com (excluding Vendor Product Content) are owned by or licensed to GoodTechMart. This includes the Dokan Pro platform's underlying code and design. You are granted a limited, non-exclusive, non-transferable license to use our branding solely for the purpose of selling your products on our platform in accordance with these Terms.


9. Data Privacy

9.1. Compliance: Both parties agree to comply with all applicable data protection and privacy laws, including the General Data Protection Regulation (GDPR) for operations within the EU. 9.2. Data Sharing: You acknowledge that customer data (e.g., shipping address, contact information) will be shared with you via the Dokan dashboard solely for the purpose of fulfilling orders. You agree to use this data only for order fulfillment and customer service related to that order, and not for marketing or any other purpose without explicit customer consent. 9.3. Security: You must implement appropriate technical and organizational measures to ensure the security of customer data shared with you.


10. Confidentiality

10.1. Both parties agree to keep confidential any proprietary or confidential information obtained during the course of their relationship, including but not limited to business plans, financial information, and customer data.


11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless GoodTechMart, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your violation of these Terms; (b) your violation of any third-party rights, including intellectual property rights; (c) any products you list or sell; (d) your negligence or willful misconduct; or (e) your failure to comply with applicable laws.


12. Limitation of Liability

12.1. To the maximum extent permitted by law, GoodTechMart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the platform (including the Dokan Vendor Dashboard); (b) any conduct or content of any third party on the platform; (c) any content obtained from the platform; and (d) unauthorized access, use, or alteration of your transmissions or content.


13. Term and Termination

13.1. Term: These Terms commence upon your acceptance and registration as a Vendor and remain in effect until terminated. 13.2. Termination by Vendor: You may terminate your Vendor account at any time by providing 10 days written notice to GoodTechMart, provided all outstanding orders are fulfilled and financial obligations are met. This termination request will be processed by GoodTechMart in the Dokan admin panel. 13.3. Termination by GoodTechMart: GoodTechMart may suspend or terminate your Vendor account and access to the platform (including your Dokan Vendor Dashboard) immediately, with or without cause, at its sole discretion, including but not limited to violations of these Terms, poor performance, or legal/regulatory non-compliance. 13.4. Effect of Termination: Upon termination, your right to use the platform ceases. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


14. Changes to Terms

14.1. GoodTechMart reserves the right to modify or update these Terms at any time. We will provide notice of significant changes (e.g., via email or prominent website notification via the Dokan system or other means). Your continued use of the platform after such modifications constitutes your acceptance of the revised Terms.


15. Governing Law and Dispute Resolution

15.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law principles. 15.2. Dispute Resolution: * Informal Resolution: In the event of any dispute arising out of or in connection with these Terms, both parties agree to first attempt to resolve the dispute amicably through good-faith negotiations. * Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Eindhoven in the Netherlands and both parties consent to the jurisdiction of such courts.


16. General Provisions

16.1. Entire Agreement: These Terms, together with any referenced policies, constitute the entire agreement between you and GoodTechMart regarding your use of the platform as a Vendor. 16.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 16.3. No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. 16.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without GoodTechMart's prior written consent. GoodTechMart may assign or transfer these Terms without restriction.
